Terms of Service

1. Acceptance of these Terms

These Terms govern access to and use of the Vemlyx website, applications, APIs, service center catalog, and related services operated by Individual Entrepreneur Melnychuk Vasyl.

By using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. Who may use the Service

• You must be able to form a binding contract under applicable law.
• You must be at least 18 years old or the minimum age required by the laws of your country to enter into binding contracts.
• You must provide accurate and current information.
• If you act for a company, fleet, workspace, or service center, you represent that you have authority to bind that entity.

3. The Service

The Service may include vehicle and fleet management, trip management, expense tracking, reminders, exports, service center profiles, public directory listings, and paid subscription functionality.

Features may change over time. We may add, remove, suspend, or modify features at any time.

4. Accounts and security

• You are responsible for your credentials and all activity under your account or workspace.
• You must keep your contact details accurate.
• You must notify us promptly if you suspect unauthorized access or misuse.
• We may suspend or restrict access where we reasonably believe there is legal, security, operational, or reputational risk.

5. Workspace owners and administrators

• Workspace owners and administrators are responsible for access configuration and role assignments.
• They are responsible for inviting users into a workspace and for deciding what level of access each invited user receives.
• They must ensure they have the right to upload and manage workspace data.
• They are responsible for their team's use of the Service, internal operational decisions, and actions taken through invited accounts within their workspace to the extent those actions result from permissions, instructions, or access granted by them.
• They must promptly revoke or adjust access if an invited user should no longer have access to the workspace.

6. User content and uploads

You retain rights in the content and data you submit, but you grant us the limited rights needed to host, process, store, back up, optimize, moderate, and display that content as required to operate the Service.

• You must not upload unlawful, infringing, fraudulent, defamatory, malicious, or prohibited content.
• You must not upload explicit sexual content, graphic violence, malware, or content that violates applicable law or third-party rights.
• We may review, block, remove, or report content that violates these Terms, our policies, or the law.

7. Service center catalog

If you publish a service center listing, you are solely responsible for the accuracy, legality, and completeness of the listing, pricing, public claims, and business conduct.

Public listing data may be visible to anyone on the internet.

Vemlyx is a software and directory platform only. Unless we expressly say otherwise, we do not guarantee the quality, legality, safety, availability, or performance of listed businesses and we are not a party to disputes between a listed business and third parties.

8. Disclaimers regarding service centers and directory

Directory nature: The public directory of Service Centers (STOs) provided on Vemlyx is for informational purposes only. We act solely as a platform to display information provided by third-party Service Centers. We do not endorse, recommend, or guarantee the quality, safety, or legality of any services provided by those third parties.

Accuracy of data: All information regarding Service Centers, including addresses, working hours, available services, and pricing lists, is created and maintained directly by the respective Service Center administrators. Vemlyx does not verify this information and makes no warranties regarding its accuracy, completeness, or current validity. Prices listed on the platform may be changed by the Service Center without notice.

No liability for services: Any transaction, agreement, or dispute between you and a Service Center found through our directory is strictly between you and that Service Center. Vemlyx is not a party to any such agreement. We are not liable for damages, losses, poor workmanship, vehicle damage, or overcharging resulting from your use of third-party services discovered through the platform.

9. Payments, subscriptions, and taxes

Some features may require payment or an active subscription. Our order process is conducted by our online reseller PayPro Global, Inc. PayPro Global is the Merchant of Record for all our orders. PayPro Global handles customer service inquiries related to payments and processes refunds in accordance with its policies.

Subscription fees, billing periods, taxes, and refund mechanics may depend on your plan, provider terms, and applicable law.

10. Trial, cancellation, downgrade, and refunds

• Free plans and trials may be limited, changed, or removed.
• Paid subscriptions may renew until canceled.
• Cancellation may take effect at the end of the current billing period.
• A user may submit a refund request within 14 calendar days from the date of the initial subscription payment.
• A user may also submit a refund request within 7 calendar days from the date of any scheduled subscription renewal if the Service has not been materially used after that renewal.
• To request a refund, the user must contact support at [email protected].
• Refund requests are reviewed and processed manually. The handling process and actual refund execution may depend on the payment provider, payment method, and applicable law.

11. Acceptable use

• You may not use the Service to break the law.
• You may not access data you are not authorized to access.
• You may not interfere with the Service, abuse APIs, misuse exports, or attempt to bypass restrictions.
• You may not reverse engineer the Service except where mandatory law allows it.

12. Data accuracy and operational decisions

You are responsible for verifying vehicle, route, maintenance, insurance, financial, and business data entered into or exported from the Service.

Vemlyx is not legal, tax, accounting, insurance, transport, safety, or mechanical advice.

13. Third-party services

The Service may depend on third-party providers for identity, analytics, storage, maps, moderation, communication, and payments. We are not responsible for outages, policy changes, or acts and omissions of third-party services outside our reasonable control.

14. Intellectual property

The Service, including software, branding, interface elements, and documentation, is owned by or licensed to us and protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, or create derivative works from the Service.

15. Suspension and termination

• We may suspend or terminate access if you materially breach these Terms.
• We may suspend or terminate access if your activity creates legal, security, or operational risk.
• We may suspend or terminate access if required by law or by a provider.
• You may stop using the Service at any time.

16. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law.

We do not warrant uninterrupted operation, absolute security, complete accuracy of all data, or that any listing, export, calculation, or reminder will meet every business or legal requirement.

17. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, business, goodwill, or data arising from use of the Service.

To the maximum extent permitted by law, our total aggregate liability for claims related to the Service will not exceed the total amount you paid us for the Service during the 6 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded or limited under applicable law.

18. Indemnity

You agree to defend, indemnify, and hold harmless Individual Entrepreneur Melnychuk Vasyl and its affiliates, officers, employees, and contractors from claims, losses, liabilities, and costs arising from your content, your workspace data, your public listings, your misuse of the Service, or your violation of law or third-party rights.

19. Changes to the Terms

We may update these Terms from time to time. Updated Terms become effective when posted unless a later date is stated.

For material changes, we will provide notice by email or through the Service interface at least 14 days before those changes take effect.

20. Governing law and disputes

These Terms are governed by the laws of Ukraine, excluding conflict-of-law rules unless mandatory law requires otherwise.

Disputes will be subject to the exclusive jurisdiction of the courts located in Ukraine, unless mandatory law gives you the right to bring a claim elsewhere.
